1. Acceptance of Terms

By accessing or using cncbusbarmac.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Site on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to all of these Terms, you must not access or use the Site. These Terms constitute a legally binding agreement between you ("User," "you") and DH CNC Busbar Machine ("DH CNC," "we," "us," "our").

DH CNC is a B2B industrial machinery manufacturer specializing in CNC busbar processing equipment. Our Site provides:

3. Quote Requests — No Binding Offers

Submitting a quotation request through our Site constitutes an invitation to treat, not a binding purchase order. DH CNC reserves the right to:

• Accept or decline any quotation request at our sole discretion
• Modify pricing, specifications, lead times, and shipping terms based on final engineering assessment
• Request additional technical documentation (CAD files, voltage specs, production volume data) before issuing a formal commercial offer
• Withdraw or amend any information on the Site without prior notice

A binding contract is formed only when both parties sign a formal Proforma Invoice or Sales Confirmation document. Until that point, no contractual obligation exists.

4. Intellectual Property Rights

All content on this Site is the exclusive intellectual property of DH CNC Busbar Machine or its licensors:

• Images & Photography: Factory photographs, product images, shipping documentation photos, and hero visuals

5. User Representations & Obligations

B2B Note: Industrial CNC machinery specifications (force ratings, accuracy tolerances, production speeds) are provided for preliminary evaluation. Final guaranteed specifications are documented in the signed commercial contract and may vary based on tooling configuration, material properties, and operating conditions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DH CNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOST PROFITS, PRODUCTION DOWNTIME, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS — ARISING FROM YOUR USE OF THE SITE OR RELIANCE ON SITE CONTENT.

DH CNC's total aggregate liability for any claim arising from or relating to the Site shall not exceed USD $1,000 or the amount you paid to DH CNC in the twelve months preceding the claim, whichever is greater.

This limitation does not apply to liability that cannot be excluded or limited under applicable mandatory law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

9. Indemnification

You agree to indemnify, defend, and hold harmless DH CNC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your misuse of the Site; (c) your submission of inaccurate, fraudulent, or misleading information; or (d) your infringement of third-party intellectual property rights.

10. Export Control & Trade Compliance

Our CNC busbar processing machinery is industrial equipment subject to Chinese export regulations and may be subject to the import regulations of your destination country. By requesting a quote, you acknowledge that:

• You are responsible for compliance with all applicable import/export laws, sanctions, and trade restrictions
• DH CNC reserves the right to decline orders that would violate applicable export controls or sanctions regimes
• You will not re-export, resell, or transfer DH CNC machinery to embargoed destinations or restricted end-users without proper authorization

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

Any dispute arising from these Terms or the Site shall be resolved as follows:

1. Negotiation: The parties shall first attempt to resolve the dispute amicably through direct negotiation within 30 days.
2. Mediation: If negotiation fails, either party may refer the dispute to mediation administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its mediation rules.
3. Arbitration: If mediation fails, the dispute shall be finally resolved by arbitration administered by CIETAC in Jinan, Shandong, in accordance with its arbitration rules. The arbitration shall be conducted in English. The arbitral award shall be final and binding on both parties.

For B2B transactions, the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply unless explicitly excluded in the commercial contract.

12. Termination

We reserve the right to terminate or suspend your access to the Site, without prior notice or liability, for any reason, including if you breach these Terms. Provisions that by their nature should survive termination — including intellectual property rights, disclaimers, indemnification, and limitations of liability — shall survive.

13. Modifications to These Terms

We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting to this page. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically, particularly before submitting new quotation requests.

14. General Provisions

• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
• Waiver: Failure to enforce any right does not constitute a waiver of future enforcement.
• Entire Agreement: These Terms constitute the entire agreement regarding Site use. For product purchases, the signed commercial contract takes precedence over any conflicting Site content.
• Assignment: You may not assign your rights under these Terms. DH CNC may assign them in connection with a merger, acquisition, or sale of assets.
• Language: These Terms are written in English. Any translated version is for convenience only; the English version controls.
